This Agreement (“Agreement”) is entered into between Registered Office (“we”, “us”, “our”), ABN 89 616 014 432, and the Registered Office Customer (“you”, “your”) for the use of one or more business addresses listed on RegisteredOffice.com.au/Addresses (each an “Address” and together the “Addresses”).

Our Customer Service Team is available by email during the business hours published on RegisteredOffice.com.au/opening-hours (“Business Hours”).

  1. The Purpose
    1. Registered Office grants you a non-exclusive, revocable licence to use the Address(es) as your business address, subject to payment of all applicable fees and compliance with these Terms.
    2. Use of an Address as your registered office address with ASIC is subject to successful verification under Australia’s Anti-Money Laundering and Counter-Terrorism Financing (AML/CTF) legislation.
    3. Use of an Address for online map listing services (including Google Business Profile, Bing Places and similar platforms) is subject to the additional requirements set out in Clause 4.3.
    4. In accordance with the AML/CTF Act, Registered Office does not provide any of the following designated or regulated services:

      • director or shareholder nominee services,
      • forming or managing companies,
      • providing company secretarial or administration services beyond passive mail handling,
      • company establishment,
      • ongoing administration,
      • mail screening (your business mail is screened off-site, with only important items digitized or forwarded),
      • use of your office as an apparent operating presence,
      • assistance opening bank accounts,
      • ASIC compliance management,
      • maintaining company records,
      • facilitating official communications,
      • acting in an administrative capacity for the entity,
      • otherwise supplying a designated service (e.g. virtual asset service, financial service)
    5. If you do not intend to use the Address as your ASIC registered office, you may begin using the Address immediately. In this case, please note that we will not provide you with the service of registered office service for ASIC registration.

      No further documentation needed from us, your paid order gives you this right as stated in accordance with this clause.

    6. If you wish to use the Address with ASIC registration, we need to follow Australia’s Anti-Money Laundering and Counter-Terrorism Financing (AML/CTF) requirements. You will need to complete our AML/CTF verification process and when we confirm that the address has been approved by us for registered office service for ASIC registration, then you can start using the address with ASIC registration.
    7. If you intend to use the Address for the purpose of registering at online map listing platforms, the applicable terms are set out in Clause 4.
    8. Registered Office provides its services for business entities (companies, trusts, partnerships and sole traders) holding a valid Australian Business Number (ABN) or Australian Company Number (ACN) or Australian Registered Body Number (ARBN). If your business is newly established, you must provide your ABN, ACN or ARBN within two (2) months of registration.
    9. The Address may only be used for lawful business purposes.
    10. Registered Office reserves the right, at its sole discretion, to refuse or discontinue the Services at any time where it considers doing so appropriate, including where your business activities involve products or services that conflict with our business operations. For example, if your business entity deals in alcohol or chemicals, or engages in any other activity that conflicts with our business interests.
    11. Each Agreement applies to one business entity only. That entity may use multiple Addresses and multiple registered business or trading names, provided they all operate under the same ABN, ACN or ARBN. All business or trading names must be added to your account before they may be associated with any Address.
    12. Each additional business entity with a different ABN, ACN or ARBN must order a separate Service. The Service is personal to the registered business entity and may not be assigned or transferred.
    13. Nothing in this Agreement creates a tenancy, lease, licence to occupy premises, or any other legal interest in real property. The Address is provided solely as a virtual business address and must not be used as a physical place of business or for in-person attendance.
    14. Registered Office is not responsible for any losses resulting from inaccurate or outdated contact information, like mailing names, forwarding address, email addresses or non-Australian (mobile) phone numbers.
  2. The Services (“Service” or “Services”)
    1. Registered Office provides you with the right to use the Address(es) in accordance with this Agreement .
    2. As part of the Service, we receive your mail and, at your direction, scan, forward or otherwise handle it in accordance with these Terms.
  3. Compliance
    1. You must comply with all applicable laws and regulations in connection with your business and your use of the Address(es).
    2. You must not use the Address(es) for any unlawful purpose or engage in any activity that:

      • interferes with Registered Office’s business or the use of the Address(es) by other customers;
      • causes nuisance, inconvenience or disruption to others;
      • increases our insurance premiums or operating costs; or
      • causes, or is likely to cause, loss, damage or reputational harm to Registered Office or the owner of the Address(es).
    3. Compliance with this clause is a fundamental condition of this Agreement. Any breach of this clause constitutes a material breach, entitling Registered Office to immediately suspend or terminate the Services without further notice or procedure.
  4. Service Periods and Payment
    1. We can offer two types of service agreements:

      • Monthly Subscription – payable monthly in advance by credit or debit card via our online payment provider (e.g. Pin Payments, PayPal). The Service continues until terminated in accordance with this Agreement.
      • Long-Term Subscription – payable in advance by EFT for a fixed term of three (3) months, six (6) months or twelve (12) months.
    2. By selecting a monthly subscription, you authorise Registered Office to automatically charge you credit or debit card each month until the Service is cancelled.
    3. If you wish to use the Address for an online map listing service (including Google Business Profile or Bing Places), you must purchase a minimum twelve (12) month subscription, payable in full in advance. Your verification process with online map listing service can commence only after full payment has been received and you received a unique suite number from us. Until then, you can not ask or receive the Google or Bing code. Registered Office does not guarantee successful verification or approval by any online map listing platform and is unable to provide additional documentation, invoices or certificates beyond those normally issued as part of the Service.
    4. Long-Term subscriptions cannot be cancelled during the prepaid term and are non-refundable.
    5. You are responsible for all mail handling, mail forwarding and any other applicable charges. These charges will be included in the next invoice issued to you. Additional fees are set out in Clause 5.
    6. You acknowledge and agree to pay all fees and charges specified in these Terms and Conditions.
    7. Invoices are issued electronically and must be paid by the due date shown on the invoice.
    8. If any amount remains unpaid after the due date, Registered Office may charge interest or late payment fees on the outstanding balance and recover any reasonable costs incurred in collecting overdue amounts.
    9. Registered Office may suspend or withhold the Services while any fees, interest or other amounts remain outstanding, or if you are otherwise in breach of this Agreement.
    10. Failure to pay any invoice when due constitutes a material breach of this Agreement and may result in the immediate suspension or termination of the Services.
  5. Fees
    1. Service Fees
      The following monthly fees apply per business entity:

      • First Address: $49.00/month + GST (“Regular Fee”)
      • Second Address: $29.50/month + GST (40% discount)
      • Third and each subsequent Address: $19.50/month + GST (60% discount)

      Additional registered business names or trading names operating under the same ABN, ACN or ARBN may be added to all subscribed Addresses for $9.90 per business/trading name, per Address, per month + GST.

    2. Mail handling fees
      • A mail handling fee of $1.00 + GST applies to each item of mail received at any Address.

        Mail handling fee includes receiving the mail, email notification, scanning the envelope and the content up to 4 pages.

      • If an item contains more than four (4) pages, you may choose to:

        – have the remaining pages scanned for $0.20 per additional page + GST; or

        – have the original item forwarded to your nominated postal address (“Postal Address”). Mail forwarding is charged at the applicable Australia Post postage rate. You may choose normal, registered or Express Post.

        Registered Office recommends using registered or Express Post for all forwarded mail. If you choose standard post, forwarding is entirely at your own risk, and Registered Office accepts no liability for loss, delay or non-delivery.

    3. Parcels
      • Registered Office does not accept or store parcels.
      • Items weighing up to 500 grams that fit within the mailbox may be treated as standard mail.
      • If a parcel or oversized item (over 500 grams) is received, a parcel handling fee of $50.00 + GST will also apply in addition to the $1 + GST mail handling fee. You must arrange collection by your courier no earlier than the third day after notification and no later than eight (8) days after notification. Any uncollected parcel may be disposed of without further notice.
    4. Mail and parcels cannot be collected in person.
    5. Mail Storage
      • Unless you instruct us otherwise, mail may be securely destroyed after thirty (30) days.
      • If you request mail forwarding after notification, the applicable mail handling fee and Australia Post postage charges will apply.
      • When Registered Office is required to store mail for more than fifteen (15) days, a storage fee of $1.00 per item, per day + GST will apply.
    6. Deposit
      Registered Office may require a reasonable deposit at any time to cover anticipated mail handling, mail forwarding, storage or other applicable charges.
  6. Ending the Service
    1. To the maximum extent permitted by law, Registered Office may immediately suspend or terminate the Services by written notice if:

      • you become insolvent, bankrupt, enter liquidation or are otherwise unable to pay your debts as they fall due;
      • you commit a material breach of this Agreement that cannot be remedied; or
      • you fail to remedy a breach of this Agreement within seven (7) days after receiving written notice requiring you to do so.
    2. Either party may terminate the Service by giving at least thirty (30) days’ written notice before the first day of the following month. All applicable fees remain payable until the end of the notice period.
    3. In the event that Registered Office is permanently unable to provide the services at any Address, we may offer you an alternative Address within the same district and will provide at least fifteen (15) days’ prior notice.
    4. Except where expressly stated in this Agreement, all fees paid are non-refundable. Refunds are not available once the Registered Office service has been ordered.
    5. Unless otherwise agreed in writing, any mail, documents or other communications received after the Service has ended will not be forwarded.
    6. Upon termination, you must promptly remove and replace the Address wherever it has been used, including with ASIC, the ATO, your website, stationery, Google Business Profile, Bing Places and any other online or offline directories, listings or records.
    7. If you continue to use the Address after your Service has ended, you will remain liable for the applicable monthly Service fee until you have removed the Address from all locations and provided Registered Office with satisfactory evidence that this has been completed.
    8. Any unauthorised use of the Address after termination, or without a valid Service, will incur a fee of $260.00 per company, per month + GST, calculated from the date the unauthorised use commenced.
    9. The same fee applies if you use any Registered Office contact details, including our telephone number or other business information, without our prior written consent.
    10. Upon termination, it is your responsibility to notify your customers, suppliers and other contacts that Registered Office no longer accepts mail or correspondence on your behalf. Any mail or parcels received after the Service has ended may be destroyed without further notice.
    11. Former customers may request copies of previous invoices or other documents for $10.00 per A4 page + GST.
  7. Registered Office’s Liability
    1. To the maximum extent permitted by law, you agree to indemnify and hold harmless Registered Office, its employees and agents from and against any and all liabilities, losses, damages, costs and expenses (including reasonable legal fees) arising out of or in connection with your use of the Services or any breach of this Agreement.
    2. Registered Office will not be liable for any loss or damage suffered by you in connection with this Agreement or the Services, except to the extent that such loss or damage is directly caused by Registered Office’s wilful misconduct or negligence.
    3. Without limitation, Registered Office is not responsible for any failure or delay in providing the Services arising from events beyond its reasonable control, including but not limited to mechanical failure, industrial action, loss of access to premises, or termination of rights relating to the Address.
    4. You acknowledge that all mail handling, forwarding, scanning and storage services are performed at your own risk. Registered Office accepts no responsibility for the condition of items, delays in delivery, or any loss or damage occurring during handling, delivery or storage.
    5. Registered Office is not liable for service interruptions, system outages, or delays caused by third-party providers or technology failures.
    6. Any claims relating to the Services must be notified to Registered Office in writing, and Registered Office must be given a reasonable opportunity to investigate and, where appropriate, remedy the issue.
    7. To the maximum extent permitted by law, Registered Office excludes liability for any indirect or consequential loss, including but not limited to loss of business, loss of profits, loss of anticipated savings, loss of data, or third-party claims.
    8. In all circumstances, Registered Office’s total aggregate liability arising out of or in connection with this Agreement is limited to the amount of one (1) monthly Service fee paid by you.
  8. Miscellaneous
    1. All formal notices under this Agreement must be provided in writing and sent to the email address first registered with Registered Office for correspondence purposes.
    2. You acknowledge and agree that Registered Office acts solely as a service provider and does not act, and must not be represented as acting, as your agent or legal representative in any capacity.
    3. This Agreement constitutes the entire agreement between the parties in relation to its subject matter and supersedes all prior discussions, negotiations, correspondence and understandings, whether oral or written. Any additional written agreement signed by both parties will prevail over these Terms and Conditions to the extent of any inconsistency.
    4. Your use of the Services is strictly subject to compliance with this Agreement. You must not use the Services for any unlawful or prohibited purpose. By using the Services, you accept and agree to be bound by these Terms and Conditions.
    5. Registered Office reserves the right to amend these Terms and Conditions from time to time. Any changes will be notified to you via email. Your continued use of the Services after such notification will constitute acceptance of the updated Terms and Conditions.
    6. This Agreement is governed by the laws of New South Wales, Australia. You submit to the exclusive jurisdiction of the courts of New South Wales.
    7. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Effective: 1 July 2026
