Address Service Terms & Conditions

  1. This Agreement (“Agreement”) is between Registered Office (“We”) ABN: 89616014432 and the Registered Office Customer (“You”) at the Addresses listed on the (“Address or Addresses“). We are reachable on the opening hours found on (“Opening Hours”).
  2. The Purpose
    1. Registered Office is giving you the right to use the Addresses as your registered office, business address, registered address, virtual office address or any other legal business purposes until the fees are fully paid.
    2. This includes the right to use the Addresses at ASIC/ATO as your registered office. No further documentation needed, your paid order gives you the right of use by this clause.
    3. You may use the Addresses for business purposes only. One agreement gives the right of use for one company only. This one company may use more addresses, and can have more business names. Each additional company must order a separate Service. You may not transfer the Service to other party.
    4. You accept that this Agreement creates no tenancy interest, leasehold estate or other real property interest in your favour with respect to the Addresses.
  3. The Services (“Service” or “Services”)
    1. Registered Office is to provide to use the Addresses as stated above.
    2. Registered Office is to handle your mail and scan or forward to you.
    3. Registered Office is to provide during Opening hours meeting room and hot desk services by our service provider partners (“Partner”). These services have additional costs, may differ from address to address and time to time. This service is not always available at every locations. You have to contact Registered Office about availability. We are not liable for the services of our partners at all.
  4. Compliance
    1. You must comply with all relevant laws and regulations in the conduct of your business. You must do nothing illegal in connection with your use of the Addresses. You must not do anything that may interfere with the use of the Addresses by Registered Office or by others, cause any nuisance or annoyance, increase the insurance premiums Registered Office has to pay, or cause loss or damage to Registered Office (including damage to reputation) or the owner of any interest in the Addresses which you are using.
    2. You acknowledge that the terms of clause 4.1. are a material inducement in Registered Office’s execution of this Agreement, and any violation by you of clause 4.1. will constitute a material default by you under this Agreement, entitling Registered Office to terminate this Agreement, without further notice or procedure.
  5. Service periods, payment
    1. This Agreement for a Service is monthly and ongoing.
    2. You agree to pay the monthly fees month-by-month in advance.
    3. You agree to pay the post handling and mail forwarding costs or any additional costs periodically when we send you an invoice.
    4. For any service of our partners for example meeting room and hot desk services you pay when you order it or at the premise.
    5. Registered Office has a right to ask reasonable deposit for post handling and mail forwarding costs anytime.
    6. You must pay your invoice by the due date as specified in the invoice. The invoice will be delivered by email.
    7. If you do not pay fees when due, a fee may be charged on all overdue balances. You agree to reimburse Registered Office for any reasonable expenses incurred in enforcing payment of the licence fee or monthly costs in the case of non-payment.
    8. Registered Office reserves the right to withhold services while there are any outstanding fees and/or interest or you are in breach of this Agreement.
    9. You agree to pay each monthly invoice or Registered Office may terminate this licence immediately.
    10. You are fully aware of the fees and charges outlined in the Terms & Conditions.
    11. You authorise Registered Office to bill and charge your nominated credit card or PayPal or Stripe account or other payment method you set up automatically every month.
  6. Fees
    1. Using one Address of all Addresses (“First Address”) has a fee of $49/month + GST (“Regular Fee”)
    2. The same company using a second Address different from the First Address receives a 40% off of the Regular Fee: $29.50/month + GST
    3. The same company using a third or more Addresses receives a 60% off of the Regular Fee for each third or more Addresses: $19.50/month + GST
    4. The same company having business names can use for its business names all the addresses the company use. Cost is: $9.90/business name/address/month + GST
    5. Mail handling costs:
      1. For every received mail at any Address you pay $1 mail handling fee.
      2. Mail handling fee contains receiving the mail, notifying you about the received mail in email.
    6. If you choose scanning service, it is included in mail handling fee if the mail is less than 5 pages.
    7. If the mail is more than 4 pages or you choose mail forwarding, the mail will be forwarded to your contact postal address (“Postal Address”) which has an extra fee equal to the AusPost fee. We will forward all mail by registered, tracked post to ensure you receive your mail. You can ask to send mail for normal cost, but we can not track and ensure that the mail arrives. In this case we are not liable of not arriving the mail.
    8. For a mail more than 4 pages you may ask us to scan anyway, the scanning fee is $0.20/page over the 4 pages included in the mail handling costs.
    9. We may refuse to receive any parcel or cash. If we handle a parcel or any mail heavier than 500 grams, you pay an extra $15 parcel handling fee and you have to organize the pick up from our address in 8 days, or we will destroy the item.
    10. You can not take your mail personally.
    11. Registered Office has a right to ask deposit for post handling and mail forwarding costs anytime.
    12. We destroy all the scanned mail in 10 days unless you send us specific request to forward an item to you. In this case you pay the mail forwarding fee (one more Mail handling fee + AusPost fee).
    13. If for any case we have to keep your mail longer than 15 days, you pay $0.2/day storage fee/item.
    14. If you want to use the address for the purpose of registering at Google (For example Google my business service) or at Bing, you have to order and pay a minimum of 1 year service in advance. You have to pay this 1 year service fee before you receive the google or bing code.
  7. Ending the Service
    1. To the maximum extent permitted by applicable law, Registered Office may put an end to this Agreement immediately by giving you notice to end your Service and remove access to the Addresses and without need to follow any additional procedure if you become insolvent, bankrupt, go into liquidation or become unable to pay your debts as they fall due, or you are in breach of one of your obligations under this Agreement which cannot be put right or Registered Office has given you notice to put right and which you have failed to put right within 7 days of that notice.
    2. Both parties can terminate the Service at any time by giving 30 days notice to the 1st day of the next month. Charges will be applicable up until the end of the notice submitted.
    3. In the event that Registered Office is permanently unable to provide the services at any Address, we will offer a new address in the same district and let you know about the change of address at least 15 days before. If you can not accept the new address, you can terminate the contract immediately without any penalty.
    4. Refunds are not available once the Registered Office service has been ordered.
    5. You acknowledge that communications or documents received after termination will not be passed on to you, unless otherwise agreed.
    6. At the termination of the contract you have to change all your addresses officially everywhere, for example at ASIC, ATO, your website, letterhead, Google My Business, Bing, any online and offline platform, etc. If you fail to do it, you have to pay the monthly fee until all of your addresses have been completely removed from every possible place you used before and you show proof of it to us. You pay for this time period even if our contract ended, because you used the addresses.
  8. Registered Office’s Liability
    1. You agree to indemnify and hold harmless Registered Office Limited from any and all liabilities arising out of your use of services under this Agreement.
    2. To the maximum extent permitted by applicable law, Registered Office is not liable to you in respect of any loss or damage you suffer in connection with this Agreement, with the services or with the use of the partner’s services unless Registered Office has acted deliberately or negligently in causing that loss or damage. Registered Office is not liable for any loss as a result of Registered Office’s failure to provide a service as a result of mechanical breakdown, strike, termination of Registered Office’s interest or otherwise unless Registered Office does so deliberately or is negligent.
    3. You agree that when mail, email, faxes or deliveries are forwarded to me by us, it is at your own risk and we cannot be held accountable for the condition nor the time taken to deliver. You agree that we cannot be held accountable for any outages in services or technologies that may prevent or delay such delivery services. You agree that storage of mail and deliveries are at your own risk. You agree that we cannot be held liable for the condition of goods on delivery, which have been received on your behalf.
    4. You agree to indemnify and hold Registered Office and its employees and agents harmless from and against all liabilities, legal fees, damages, losses, costs and other expenses in relation to any claims or actions brought against Registered Office, arising out of any breach by you of these Terms & Conditions or other liabilities arising out of your use of the service.
    5. In no event shall Registered Office be liable for any loss or damage until you provide Registered Office written notice and give Registered Office a reasonable time to put it right. If you believe Registered Office has failed to deliver a service consistent with these Terms & Conditions you shall provide Registered Office written notice of such failure and give Registered Office reasonable period to put it right.
    6. Registered Office will not in any circumstances have any liability for loss of business, loss of profits, loss of anticipated savings, loss of or damage to data, third party claims or any consequential loss unless Registered Office otherwise agrees in writing. Registered Office strongly advises you to insure against all such potential loss, damage, expense or liability.
    7. In all cases, Registered Office’s liability is limited to one monthly fee.
  9. Rules using the meeting room and hot desk services on the premises (“Premises”) provided by our partners
    1. You must not alter any part of the setup of the Premises and must take good care of all parts of the Premises, its equipment, fixtures, fittings and furnishings which you use. You are liable for any damage caused you or those of the Premises with your permission or at your invitation whether express or implied, including but not limited to all employees, contractors, agents or other persons present on the Premises.
    2. You must not install any cabling, IT or telecom connections without Registered Office’s or Partner’s consent, which may be refused.
    3. You are ultimately responsible for any such loss or damage.
    4. You agree to bind any guest you bring to the Premises to these terms. You agree to accompany them at all times while they are on the Premises.
    5. You agree that you are solely responsible for the security of your property on the premises. It is your responsibility to arrange insurance for your own property which you bring to the Premises and for your own liability to your employees and to third parties. Registered Office strongly recommends that you put such insurance in place.
  10. Miscellaneous
    1. All formal notices must be in writing to the email address first registered and agreed with Registered Office, as the email address for all correspondences.
    2. You agree that you will not refer to Registered Office as your agent, as Registered Office does not legally represent your firm under any capacity or under any circumstances.
    3. This Agreement comprises the whole agreement between the parties relating to the subject matter and supersedes all oral and email negotiations and communications by or on behalf of any of them, except signing a written agreement, signed by both parties, where the written agreement supersedes this Terms & Conditions.
    4. Your use of the services of Registered Office is subject exclusively to these Terms & Conditions. You are not at liberty to use the Service for any purpose that is unlawful or prohibited (what shall we prohibit) by these Terms and Conditions. By using the Services you are fully accepting the terms, conditions and disclaimers contained in this notice.
    5. You agree that Registered Office reserves the right to change these Terms & Conditions at any time and Registered Office shall inform me about any changes via email. My continued use of the services following any changes shall be deemed to be my acceptance of such changes.
    6. This Agreement is interpreted and enforced in accordance with the law of the state of New South Wales. Registered Office and you accept the exclusive jurisdiction of the courts of New South Wales. If any provisions of these Terms & Conditions are held void or unenforceable under the applicable law, the other provisions shall remain in force.
